Terms of Sale

1. Purpose and scope

These Terms of Sale (hereinafter the "Terms") govern the contractual relationship between Securit Expert (hereinafter the "Seller") and any legal entity or natural person acting for the purposes of their professional activity (hereinafter the "Customer") placing an order on the website signersynthese.fr.

The Service is intended exclusively for professional (B2B) use. The Customer declares that they are ordering in their capacity as a professional or as a representative of a legal entity, in connection with their formalities with the INPI / Guichet Unique. The provisions of the French Consumer Code relating to B2C contracts do not apply to these Terms.

The Service consists in applying a qualified electronic signature within the meaning of European Regulation (EU) No 910/2014 (eIDAS) to a PDF document (INPI summary) uploaded by the Customer, for the purpose of filing on the INPI Guichet Unique portal.

Any order implies the Customer's full and unreserved acceptance of these Terms. The Terms may be amended at any time; the applicable Terms are those in force at the time of the order.

3. Acceptance of the Terms

By ticking the "I accept the Terms of Sale" box during the order process, the Customer acknowledges having read, understood and accepted without reservation the entirety of these Terms of Sale. This acceptance is a condition of the validity of the order.

The Customer declares that they are acting for the purposes of their professional activity or as the legal representative of a legal entity, and that they have the necessary authority to bind it. The Seller reserves the right to refuse any order placed by a consumer within the meaning of the French Consumer Code.

4. Description of the Service

The Service enables the Customer to have a PDF document (the "INPI summary" or any equivalent document generated by the INPI Guichet Unique) signed electronically with an eIDAS qualified electronic signature based on a qualified certificate issued by a qualified Trust Service Provider listed on the European Trust List (EU Trust List).

The Service includes:

• Temporary, encrypted hosting (256-bit SSL) of the uploaded PDF document;
• Automatic conversion of the document to PDF/A format for long-term archiving;
• Verification of the signatory's identity via a photo of their identity document, a selfie and an SMS OTP (PVID-compliant procedure);
• Application of the qualified electronic signature by the technical provider Universign (qualified TSP, ANSSI-certified);
• Delivery of the signed document to the signatory by email to the address provided;
• Retention of the signature evidence by the technical provider in accordance with regulatory requirements.

The Service does not cover:

• The creation, drafting or revision of the document to be signed (the Customer is solely responsible for the uploaded content);
• Registration fees, taxes or charges owed to the INPI or any other official body;
• The filing of the signed document on the INPI Guichet Unique (the Customer's responsibility);
• Legal or accounting advice.

5. Pricing and payment terms

The Service is offered per unit or in packs of eIDAS qualified signature credits. The applicable rates are those displayed on the payment page at the time of the order. The applicable French VAT rate of 20% applies to all amounts.

Credits purchased in a pack may be used during the validity period indicated, starting from the order date, up to the number of signatures acquired. Credits not used by the end of the validity period are forfeited, in accordance with Article 9 (No right of withdrawal).

Payment is due immediately upon ordering, as a single payment. No subscription, no automatic renewal, no hidden fees.

Accepted means of payment are: credit card (Visa, Mastercard, American Express), Apple Pay, Google Pay. Payment is processed by Stripe Payments Europe Ltd, a PCI-DSS Level 1 certified payment service provider. Card data never passes through the Seller's servers.

A paid invoice is sent to the Customer by email to the address provided, within 24 hours of the order.

6. Order process

The order process comprises the following steps:

1. Upload of the PDF document to be signed on the website;
2. Entry of the signatory's details (first name, last name, email, phone);
3. Acceptance of the Terms (tick box);
4. Secure payment via Stripe;
5. Receipt of an email from the technical provider Universign containing a signing link;
6. Identity verification (ID photo + selfie) on a smartphone, then signing;
7. Receipt of the signed document by email.

The Customer acknowledges that it is their responsibility to provide accurate details (in particular the email address and phone number) and that the information provided must correspond exactly to that shown on their official identity document.

7. Accepted identity documents

Applying an eIDAS qualified electronic signature requires verification of the signatory's identity through the PVID (Remote Identity Verification Provider) process of the technical provider Cryptolog International (Universign by Signaturit Group), certified by the French cybersecurity agency ANSSI in accordance with Regulation (EU) No 910/2014.

Only official identity documents that are valid and compliant with the uniform format defined by Regulation (EU) No 2017/1954 are accepted. Three categories are admitted:

• National identity card issued by a Member State of the European Union or the European Economic Area, where that State issues such a document;
• Passport issued by a State recognised in the PVID framework — namely the European Union and the EEA, or one of the third countries covered by Universign;
• Residence permit in card format (biometric plastic card format, ID-1 ISO/IEC 7810 standard) that is valid, issued by a Member State of the European Union, for third-country nationals residing in Europe. Residence permits in paper format (provisional receipts, filing certificates, older fold-out models) are not accepted.

The identity document must be valid on the date of signing, presented front and back, legible, neither torn nor cropped, and the photograph must allow reliable identification of the signatory. Driving licences, family record books and documents not listed above are not accepted.

The exhaustive and up-to-date list of eligible documents is maintained by Universign: official Universign documentation. If the document is rejected by the PVID, the Customer may submit another eligible document within the 30-day period mentioned in Article 8.

8. Performance of the Service and timeframes

The Service is performed immediately after payment validation. The Customer receives the signing email from the technical provider Universign within 2 minutes of payment.

The Customer then has 30 calendar days to complete the signing procedure by clicking the link received, carrying out identity verification on a smartphone and validating the signature. Beyond this period, the transaction expires and the Service is deemed performed; no refund may be requested for the Customer's failure to complete it.

Once the signature has been applied, the signed document is sent to the Customer by email immediately.

9. No right of withdrawal

Any order placed on signersynthese.fr is firm and final upon acceptance of these Terms and payment validation. The professional Customer benefits from no withdrawal period, nor any right to a refund once the Universign transaction has been initiated, except in the event of a manifest error attributable to Securit Expert (for example: prolonged unavailability of the Service, sending of the signing link to the wrong email address due to the Seller's fault, invoicing error).

The following situations, which fall within the Customer's responsibility, do not constitute an error attributable to Securit Expert and therefore give rise to no right to a refund, in particular:

• An identity document not compatible with the PVID framework (driving licence, family record book, paper-format residence permit, student card, old-model residence card, etc.);
• An identity document that is expired on the date of signing;
• An identity document in poor condition, torn, cropped, with damaged lamination, illegible, or whose photograph does not allow reliable identification of the signatory;
• Rejection of the identity verification (PVID) by the provider Universign due to blurry, poorly framed or poorly lit photos, non-compliance with the on-screen instructions, or non-compliant behaviour by the signatory (masked face, unsuitable environment, etc.);
• Failure to complete the signature within the 30-day period mentioned in Article 8 (no response from the signatory);
• An error by the Customer on the uploaded document (wrong formality, provisional summary instead of the final one, PDF modified between the Guichet Unique download and the upload to signersynthese.fr);
• Refusal by the INPI Guichet Unique to accept the signed summary for a reason unrelated to the signature itself (cryptographic hash of the PDF altered by the Customer, incomplete INPI file, missing documents, etc.).

It is the Customer's responsibility to check before payment that they have a compliant, valid and legible identity document, and that the uploaded document is indeed the final summary generated by the INPI Guichet Unique. The exhaustive and up-to-date list of accepted identity documents is available in the official Universign documentation referenced in Article 7. Payment of the order constitutes confirmation by the Customer that they have taken note of these requirements and are able to meet them.

In the event of a manifest error before the technical performance of the Service begins (file unreadable due to the Seller's fault, technical problem attributable to the Seller), the Customer may send a request to replace the file or amend the signature transaction to [email protected]. Requests will be examined on a case-by-case basis within a maximum of 14 business days. No amendment may be granted once the Universign transaction has been created and the signing link sent to the signatory.

10. Complaints

Any complaint must be sent by email to [email protected] or by registered letter to the registered office of Securit Expert (12 passage d'Enfer, 75014 Paris, France). The Seller undertakes to provide the Customer with a first response within a maximum of 14 business days of receipt of the complaint.

As the Service is intended for professionals, the consumer mediation mechanisms (Article L.612-1 of the French Consumer Code) and the European ODR platform do not apply. Any disputes shall be resolved under the conditions set out in Article 13.

11. Limitation of liability

The Seller is bound by an obligation of means in performing the Service. It implements all reasonable technical and human resources to ensure the availability and quality of the Service.

The Seller cannot be held liable for:

• The consequences of a malfunction of the INPI portal or the Guichet Unique;
• The consequences of a malfunction of FranceConnect+ or any third-party public service;
• The content, legal compliance or validity of the document uploaded by the Customer;
• The Customer's failure to comply with the deadlines for filing their formality with the INPI;
• Fraudulent use of the Service by a third party who has unlawfully obtained the Customer's credentials or details.

In any event, the Seller's total liability is limited to the amount of the order concerned.

12. Personal data

The processing of personal data in connection with the Service is governed by our Privacy Policy, compliant with the General Data Protection Regulation (GDPR) and the French Data Protection Act ("Informatique et Libertés") of 6 January 1978 as amended.

13. Governing law and jurisdiction

These Terms are governed by French law. The language applicable to the contract is French.

Any dispute relating to the formation, performance or interpretation of these Terms that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the Paris Commercial Court (Tribunal de commerce de Paris), notwithstanding a plurality of defendants or third-party proceedings, including for urgent or protective proceedings, interim relief or by application.
